A. Event and Business Submissions

By submitting an event listing, business listing, or any other content to the Site ("User Content"), you grant Aroundlio.com a non-exclusive, royalty-free, worldwide, perpetual, irrevocable license to use, reproduce, modify, publish, translate, distribute, and display that content in connection with operating and promoting the Site.

B. Accuracy and Responsibility

You are solely responsible for the accuracy, completeness, and legality of any content you submit. You represent and warrant that your User Content does not infringe any third-party intellectual property rights, is not defamatory, obscene, or unlawful, and complies with all applicable laws. We reserve the right to remove or edit any User Content at our sole discretion, without notice.

C. No Endorsement

The appearance of any event or business listing on the Site does not constitute our endorsement, recommendation, or approval of the event, organizer, or business.

3. Intellectual Property

All content on the Site that is not User Content — including but not limited to text, graphics, logos, design, software, and editorial content — is the property of Aroundlio.comor its licensors and is protected by United States and Georgia copyright, trademark, and other intellectual property laws.

You may not copy, reproduce, modify, distribute, transmit, display, perform, publish, license, create derivative works from, or sell any content from the Site without our prior written consent, except for your own personal, non-commercial use.

4. Advertising

We may display advertisements on the Site through Google AdSense and other advertising partners. All advertising placements purchased through our promotional packages are subject to our then-current advertising policies and availability. We reserve the right to reject, modify, or remove any advertisement that violates our policies, applicable law, or community standards. Paid advertising placements are non-refundable once the campaign has begun, except as required by law.

AROUNDLIO.COM DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE MAKE NO GUARANTEE REGARDING THE ACCURACY, COMPLETENESS, OR TIMELINESS OF ANY EVENT OR BUSINESS LISTING ON THE SITE.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY GEORGIA LAW AND APPLICABLE FEDERAL LAW, AROUNDLIO.COM, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SITE OR ANY CONTENT THEREON, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event shall our total liability to you for all claims arising out of or relating to these Terms or the Site exceed the greater of (a) one hundred dollars ($100.00) or (b) the amount you paid to us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to defend, indemnify, and hold harmless Aroundlio.com, its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site, including any User Content you submit, your use of any information obtained from the Site, or any violation of the rights of a third party.

10. Governing Law and Dispute Resolution

A. Governing Law

These Terms and any dispute arising out of or related to them or the Site shall be governed by and construed in accordance with the laws of the State of Georgia, without giving effect to any choice-of-law provisions.

B. Jurisdiction and Venue

Any legal action or proceeding relating to your access to or use of the Site shall be instituted exclusively in the state or federal courts of competent jurisdiction located in Richmond County, Georgia. You and Aroundlio.com each consent to jurisdiction and venue in those courts and waive any objection to inconvenient forum.

C. Informal Resolution

Before filing any formal legal action, you agree to first contact us at legal@aroundlio.com and attempt to resolve the dispute informally. We will make reasonable efforts to address your concern within 30 days of receipt.

11. Digital Millennium Copyright Act (DMCA)

If you believe that content on the Site infringes your copyright, please send a written notice to our designated agent at legal@aroundlio.com that includes: (1) a description of the copyrighted work; (2) a description of the allegedly infringing content and its location on the Site; (3) your contact information; (4) a statement of good-faith belief that the use is not authorized; (5) a statement that the information is accurate and, under penalty of perjury, that you are the copyright owner or authorized to act on the owner's behalf.

12. Modifications to Terms

We reserve the right to revise these Terms at any time. When we make changes, we will update the "Effective Date" at the top of this page. Your continued use of the Site following the posting of revised Terms constitutes your acceptance of the changes. We encourage you to review these Terms periodically. If a revision materially affects your rights, we will provide reasonable notice.

13. Severability and Waiver

If any provision of these Terms is held to be unlawful, void, or unenforceable under Georgia law or applicable federal law, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of the remaining provisions. No waiver by Aroundlio.com of any term or condition shall be deemed a further or continuing waiver of such term or any other term.

14. Entire Agreement

These Terms, together with our Privacy Policy (incorporated herein by reference), constitute the entire agreement between you and Aroundlio.com regarding the Site and supersede all prior and contemporaneous agreements, representations, and understandings.
